These Terms & Conditions ("Terms", "Agreement") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("User", "you", or "your"), and DeepShui Ventures LLC ("Company", "DeepShui", "we", "us", or "our").

These Terms govern your access to and use of deepshui.com, deepshuiventures.com, mobile applications, software platforms, dashboard integrations, artificial intelligence interfaces, virtual assistant services, and related digital media assets (collectively, the Platform).

By accessing or using the Platform, registering for a 14-day free trial, creating an account, delegating tasks, or purchasing a subscription, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree with these Terms, you must discontinue use immediately.

DeepShui Ventures LLC provides an integrated personal reinvention, operational workflow, and business development ecosystem designed to assist users in structuring their time, managing administrative workflows, and achieving operational sovereignty.

The SB1 Ally AI Assistant provides context-aware suggestions, task structuring, and administrative workflow assistance through an AI conversational interface.

Human Virtual Assistant (Ally) services provide administrative, organizational, research, and communication support through trained human virtual assistants.

The Platform also includes a 14-day free trial offering temporary access to designated dashboard features, self-assessment modules, and structured task delegation capabilities.

Community memberships and educational media include Sanctuary Circle, Assistant Pro, live coaching calls, peer accountability groups, digital course libraries, and The Midlife Phoenix Podcast.

Eligibility & Registration: The 14-day free trial is available exclusively to new users who complete formal Platform registration by providing a valid, accurate, and current full legal name, email address, and mobile telephone number. General contact form submissions do not constitute trial registration.

Trial Scope & Operational Limitations: Trial access is non-exclusive, non-transferable, revocable, and limited to designated dashboard areas. Restrictions include rate limits on SB1 Ally AI chatbot interactions, a maximum of two operational task requests per trial period, and restricted access to advanced franchise certification frameworks and proprietary database downloads.

Automatic Expiration: The trial begins immediately upon account creation and expires precisely 336 hours (14 days) thereafter. Unless you convert to a paid subscription before expiration, access to advanced dashboard features and human Ally task processing will automatically be suspended.

DeepShui Ventures LLC reserves the right to modify, restrict, or terminate free trial access at any time without prior notice.

Subscription Plans: Sanctuary Circle Membership costs $97.00 USD per month. Assistant Pro / Ally Service starts at $197.00 USD per month or at custom flat rates specified upon enrollment. High-ticket cohorts and certification programs may have one-time or installment-based fees as defined in their enrollment agreements.

Payment Processing: All financial transactions are processed through Stripe, Inc. By subscribing to a paid plan, you authorize DeepShui Ventures LLC to charge your designated credit card, debit card, or other payment method through Stripe on a recurring monthly basis. You confirm that you are authorized to use the payment method and that your payment information is accurate and complete.

Automatic Renewal: All subscriptions automatically renew at the end of each monthly billing cycle unless you cancel at least three business days before your renewal date. You authorize DeepShui Ventures LLC to charge the applicable renewal fee to your payment method on file without further authorization.

Cancellation: You may cancel through Account Settings in the DeepShui dashboard or by submitting a written cancellation request to support@deepshuiventures.com. Cancellation requests must be received at least three business days before the scheduled billing date to avoid charges for the subsequent billing cycle.

Refunds: All subscription fees, membership dues, and trial payments are 100% non-refundable. Partial-month credits, prorated refunds, and fee waivers will not be issued for mid-cycle cancellations or unused services.

The Platform, including the SB1 Ally AI chatbot, human virtual assistants, coaching calls, assessment tools, and media content, provides general operational, educational, and organizational support only.

DeepShui Ventures LLC is not a licensed medical provider, psychiatric practice, law firm, accounting firm, or financial advisory service. AI outputs and human Ally communications do not constitute medical diagnosis, psychotherapy, legal counsel, investment advice, or tax planning.

You agree not to rely on Platform outputs as a substitute for consultation with qualified, licensed professionals.

You retain sole responsibility for evaluating, verifying, and executing decisions, business strategies, financial choices, lifestyle modifications, and operational workflows suggested by the Platform or processed by human Allies. DeepShui Ventures LLC disclaims liability for actions taken or omitted based on Platform content.

Users enrolled in active trial or paid Ally plans may submit operational tasks through the Platform's delegation portal. Human Allies may assist with inbox filtering, calendar scheduling, web research, draft communications, and CRM data entry.

You may not delegate tasks involving illegal activities, fraud, deceptive practices, or violations of third-party terms of service.

You may not delegate tasks involving highly sensitive financial credentials, full credit card numbers, Social Security numbers, or raw banking access details.

You may not delegate tasks requiring professional licensing, such as signing legal documents, filing tax returns, or issuing medical directions.

You may not direct human Allies to engage in harassment, spamming, unconsented web scraping, or deceptive cold outreach.

Virtual assistant workflows operate on a reasonable-effort basis. DeepShui does not guarantee specific completion timelines, third-party vendor responses, or error-free execution. You are responsible for inspecting and verifying completed work before third-party distribution or deployment.

The Platform, including its software code, databases, algorithms, user interfaces, visual design, sound recordings, videos, text, and proprietary methodologies, is the intellectual property of DeepShui Ventures LLC and its licensors. This includes The DeepShui Method, the 3-Phase / 9-Pillar Framework, the Inner Knowing methodology, and The Midlife Phoenix Podcast.

Subject to compliance with these Terms, DeepShui grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view Platform content solely for your internal personal or business use.

You may not copy, modify, reproduce, republish, or create derivative works from Platform frameworks; scrape, data-mine, or extract Platform data or AI prompt context using automated bots, crawlers, or scripts; reverse engineer or decompile the Platform or SB1 backend; or resell, sublicense, or commercialize access to Platform user guides, course materials, or virtual assistant services.

When interacting with the Platform, staff, human Allies, or community members, you agree to comply with all applicable local, state, national, and international laws.

You must not impersonate another person or entity or misrepresent your affiliation; submit abusive, harassing, defamatory, obscene, or threatening language; transmit malicious code, viruses, Trojan horses, or logic bombs designed to disrupt Platform functionality; or attempt unauthorized access to restricted server environments, other user accounts, or multi-tenant database partitions.

To the maximum extent permitted by applicable law, the Platform and associated services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

DeepShui Ventures LLC does not warrant that Platform functions will be uninterrupted, error-free, secure, or free of viruses.

To the maximum extent permitted by law, DeepShui Ventures LLC, its directors, officers, employees, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, work stoppage, computer failure, or business interruption arising from or connected with Platform use or inability to use the Platform, even if advised of the possibility of such damages.

To the maximum extent permitted by law, total aggregate liability for claims arising out of or relating to this Agreement or Platform use will not exceed the total fees paid to DeepShui Ventures LLC during the one-month period immediately preceding the event giving rise to liability, or $100.00 USD, whichever is greater.

You agree to defend, indemnify, and hold harmless DeepShui Ventures LLC, its corporate affiliates, officers, directors, employees, contractors, and agents against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorney fees, arising from or connected with your breach of these Terms or violation of applicable law; misuse of the Platform, AI tools, or human virtual assistant services; tasks, content, or instructions submitted to human Allies for execution; or violation of third-party rights, including intellectual property or privacy rights.

Governing Law: These Terms and disputes arising out of or relating to Platform use are governed by the internal laws of the State of New York, USA, without regard to choice-of-law or conflict-of-law principles.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement, including the scope or applicability of the agreement to arbitrate, will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in New York County, New York, under its Commercial Arbitration Rules. Judgment on the arbitrator's award may be entered in any court with jurisdiction.

Class Action Waiver: You and DeepShui Ventures LLC agree to bring claims against each other only in individual capacities, not as plaintiffs or class members in any purported class, consolidated, or representative proceeding.

Entire Agreement: These Terms, together with the Privacy Policy and any applicable program enrollment agreements, constitute the entire agreement between you and DeepShui Ventures LLC regarding Platform use.

Severability: If any provision is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: A waiver of any provision does not constitute a further or continuing waiver of that provision or any other provision.

Modifications: DeepShui Ventures LLC reserves the right to update or modify these Terms at any time. Changes become effective immediately upon posting to the Platform. Continued use following publication of updated Terms constitutes acceptance of those changes.
